ESTIMAKE Terms and Conditions
Effective Date: 9th March 2026
1. Definitions
In these Terms and Conditions: "ESTIMAKE", "we", "us", or "our" refers to ESTIMAKE Ltd, a company registered in Scotland (Company No. SC260503), with its registered office at Suite 2, Broomhills Business Centre, 49 Frogston Road East, Edinburgh, EH17 8RT.
"Customer" refers to any person, company, or legal entity submitting an order through the ESTIMAKE platform.
"Manufacturing Partner" means a third-party supplier, manufacturer, or subcontractor engaged by ESTIMAKE to produce Goods.
"Goods" means parts, components, tooling, fixtures, or related items ordered via the ESTIMAKE platform.
"Platform" refers to the online portal at www.estimake.co.uk where quotes are generated and orders placed.
2. Scope of Agreement
These Terms govern all transactions between ESTIMAKE and the Customer. By submitting an order, the Customer accepts these Terms in full. No other terms apply unless agreed in writing.
3. Data Use and Privacy
The Customer acknowledges and agrees that personal data and uploaded content may be processed in accordance with our Privacy Policy, including use for AI-assisted product development and service improvement.
4. ESTIMAKE’s Role and Manufacturing Partners
ESTIMAKE is a facilitator, not a direct manufacturer. We select Manufacturing Partners at our discretion based on site visits and an audit of technical capability, lead time, and pricing. The identity of the Manufacturing Partner that you select will be revealed once an order is placed on the platform. The other Manufacturing Partners (not selected) will not be revealed.
5. Request for Quotes, Quotes and Orders
Requests for Quotes may be rejected by Manufacturing Partners or cancelled if technically infeasible, incomplete, or non-compliant. Quotes are valid for 14 calendar days from the date of issuance and may be amended or withdrawn at any time before acceptance. Prices may change due to raw material and shipping. Prices quoted on the platform are ex-works and the delivery cost will be confirmed by the Manufacturing Partner on placement of the Order. We aim to return quotes within 5 business days. Orders are subject to formal acceptance by ESTIMAKE’s Manufacturing Partners. Orders can only be processed by ESTIMAKE once the initial tooling payment has been received.
6. Customer Responsibilities for Specifications
Customers are responsible for providing accurate specifications and files. If 2D drawings and 3D CAD files conflict, the 3D CAD file takes precedence. 3D CAD files must be single-body only. Special handling and packaging requirements should be stated at RFQ stage.
7. Engineering Change Requests (ECRs)
The acceptance of any ECR received after placement of an Order is at ESTIMAKE’s discretion and Manufacturing Partner confirmation. A fee may apply if additional material, time and set-up is required as a result of the ECR compared with the requirements and design provided in the Request for Quote on the platform.
8. Cancellations
All sales are final. Orders cannot be cancelled once confirmed. These Terms take precedence over any terms included in a Customer's Purchase Order.
9. Delivery and Risk Transfer
Estimated delivery dates are non-binding. Risk transfers upon delivery. Title transfers upon full payment. Goods not collected within 3 months may be considered abandoned. Warehouse storage can be arranged upon request, subject to written agreement.
10. International Orders
ESTIMAKE is not liable for customs delays or rejections. Customers are responsible for duties, taxes, and compliance with local laws. EU Customers must ensure compliance with CE, RoHS, REACH, and all other relevant regulations. ESTIMAKE does not guarantee compliance unless agreed in writing. Customers act as the importer of record for EU shipments.
11. Payment Terms
Accepted methods: card and bank transfer. Invoices will be issued with the following agreed terms: 50% of the tooling value is due for immediate payment (prior to any tooling commencing) 30% of the tooling value is due on receipt of initial samples with a 30-day payment term 20% of the tooling value is due 30 calendar days from receipt of the initial sample with a 30-day payment term. Late payments incur 2% monthly interest. Services may be suspended for overdue balances. Following completion of tooling, payments for ordering batches of units may be direct with the Manufacturing Partner and according to their payment terms. VAT adjustments will apply if the VAT rate changes before delivery.
12. Refunds and Credit Notes
Refunds are not issued. If a defect is accepted, ESTIMAKE may offer a credit note or remake at its discretion.
13. Quality Issues and Warranty
ESTIMAKE warrants that on delivery, and for a period of 3 months from the date of delivery (warranty period), the Goods shall: conform in all material respects with their description and any applicable Goods Specification; and be free from material defects in manufacture and workmanship. If the Customer gives notice in writing during the warranty period within a reasonable time of discovery that some or all of the Goods do not comply with the warranty set out here; ESTIMAKE is given a reasonable opportunity of examining such Goods; and the Customer (if asked to do so by ESTIMAKE) makes such Goods available for collection by ESTIMAKE or their Manufacturing Partner, ESTIMAKE shall, at its discretion, repair or replace the defective Goods, or refund the price of the defective Goods in full, either by cash or credit note. ESTIMAKE shall not be liable for the Goods' failure to comply with the warranty in this clause if: the Customer makes any further use of such Goods after giving a notice during the warranty period; the defect arises because the Customer failed to follow good trade practice in relation to the Goods, their use, their packaging, or their storage. the defect arises as a result of ESTIMAKE following any materials, drawings, designs, or Goods Specifications which have been supplied and/or approved by the Customer. the defect arises as a result of ESTIMAKE using any materials or tools supplied, specified, or approved by the Customer. the Customer alters or repairs such Goods without the written consent of ESTIMAKE; or the defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal working conditions. Except as provided in this clause, ESTIMAKE shall have no liability to the Customer in respect of the Goods' failure to comply with the warranty set out in this clause.
14. Liability
To the fullest extent permitted by law, ESTIMAKE is not liable for: Direct, indirect, or consequential losses Loss of profit, business, or goodwill Rework, recall, or replacement costs Damage to other components Data loss or corruption Goods are made to the Customer’s specification. Suitability and safety are the Customer’s responsibility. ESTIMAKE’s liability is capped at the value of the specific order. Nothing limits liability for death, personal injury due to negligence, or fraud.
15. Confidentiality and IP
Both parties agree to confidentiality. Files uploaded are shared only with NDA-bound Manufacturing Partners. By uploading files, the Customer grants a royalty-free licence to use them for quoting, production, fulfilment, and internal improvement. Customers retain ownership of their files. Customers must not contact ESTIMAKE’s Manufacturing Partners during the quotation stage. Once a Manufacturing Partner has been selected this communication should be maintained on the platform to ensure our compliance with confidentiality and data privacy.
16. Website Use
ESTIMAKE does not guarantee uninterrupted access or malware-free use. Users must not introduce harmful software or misuse the platform.
17. Termination
ESTIMAKE may suspend or terminate services if: Terms are breached Payments are overdue The Customer becomes insolvent The Customer ceases operations
18. Force Majeure
ESTIMAKE is not liable for delays caused by events beyond its control, including war, natural disaster, or supply chain issues.
19. Communications
Notices must be sent by email or tracked delivery. Emails are considered received on the next business day.
20. Governing Law
These Terms are governed by the laws of Scotland. Disputes are subject to the exclusive jurisdiction of the Scottish courts.
